Strategic direction & governance

We give companies, scale-ups and groups a direction that holds up in the boardroom and in front of capital: from strategy and the industrial plan through to an investor-ready business plan and capital structuring. Not theory, but executable decisions delivered with Swiss rigour.

The challenge

Many companies grow faster than their governing architecture. Strategy lives in the founder-s head, the industrial plan reads as a sales pitch rather than a steering tool, and the board has neither clear mandates nor checks and balances. When the moment that matters arrives - a funding round, an institutional investor, a reorganisation, a handover of responsibility - the real risk surfaces: not market risk, but governance risk. Decisions slow down, the numbers fail to survive due diligence, and value built over years is held hostage by a design no one ever wrote down.

Our approach

We start from the real numbers and the question that counts: where does this business create value, and what puts it at risk. We translate the vision into a value-driver-led industrial plan - revenue, margins, working capital, capex - with scenarios and a clear sustainability threshold. We design governance as architecture: who decides, with which mandates, under which rules and counterweights, down to board composition. When capital is needed, we build a business plan and a capital structure that withstand an investor-s due diligence. The backbone is strategy, structure, control, because a good idea without execution is a cost, not an asset.

Why Krymax

We are a Swiss boutique of executive and operational advisory, founder-led, based in Lugano, Milano and Ancona. We work alongside family offices, funds and structured SMEs: we bring direction, not slides. We sit on the side of those who decide and those who deploy capital, so we speak both languages - the founder-s and the investor-s - and we produce documents that hold up in the boardroom and in due diligence. Swiss rigour means method, prudence in the numbers and no promise that is not executable. We do not sell a framework: we leave behind a company that decides better and faster.

When it makes sense
  • — You are preparing a round or the entry of an institutional investor and the numbers must survive due diligence
  • — Growth has outpaced the structure: decisions are concentrating and slowing down
  • — The board exists on paper but lacks mandates, counterweights and a plan to steer
  • — A reorganisation or a step-change in the industrial model is unavoidable and you need a design, not a patch
Frequently asked

What is the difference between strategy consulting and what you do?

Classic consulting delivers analysis and recommendations; we deliver executable decisions and the structure to make them. We go from strategy through to an investor-ready business plan and a governance model, and we stay alongside the decision-makers until the design holds up to the test of the board and of capital.

Do you only work with large groups, or also with SMEs and scale-ups?

We work with companies, scale-ups and groups. The principle is the same at every size - strategy, structure, control - but we calibrate depth and formality to the company-s maturity and the objective, whether that is an industrial plan, a reorganisation or preparing for a round.

Is your work genuinely useful for talking to funds and investors?

Yes; it is one of our home grounds. We routinely sit on the side of funds and family offices, so we know what an investor looks for in due diligence. We build a business plan and a capital structure that are coherent, prudent and defensible, designed to withstand the hard questions rather than fill a slide.
